1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Elite AI Empire LLC, a Delaware limited liability company ("Elite AI Empire", "we", "us"), governing your access to and use of the Lumen API service and the website at lumen-api.eliteaiempire.com (collectively, the "Service").
By creating an account, generating an API key, sending requests, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization. If you do not agree, do not use the Service.
2. Description of the Service
Lumen API is an OpenAI-compatible LLM cost-routing service. The Service receives chat-completion or other inference requests, selects an underlying large-language-model provider on a per-request basis according to a quality-floor and cost-optimization heuristic, forwards the request to that provider, returns the response, and records a hash-chained audit log of the routing decision.
The Service is a routing and metering layer; the underlying inference is performed by third-party model providers (such as Anthropic, OpenAI, and Google) under each provider's own terms. We do not own or warrant the model outputs.
3. Accounts & API Keys
To use the Service you must provide a valid email address and accept these Terms. Upon signup we issue you one or more API keys.
- Confidentiality. API keys are sensitive credentials. You are responsible for keeping them secret and for all activity performed under your keys, whether or not authorized by you.
- Rotation. You may rotate or revoke API keys at any time from your dashboard. If you suspect compromise, you must rotate immediately and may notify us at the contact address below.
- Accuracy. You agree to provide accurate, current information at signup and to keep it up to date.
- Eligibility. You must be at least 18 years old and legally capable of forming a binding contract.
4. Plans, Pricing, and Billing
The Service is offered in tiered plans: Free (no payment required, with a fixed daily request quota), Starter (USD 9 per month), Pro (USD 29 per month), and Scale (USD 99 per month). Each plan's request quota, model tiers, and feature set are described on the Pricing page, which is incorporated by reference.
- Payment processing. Paid plans are billed monthly in advance through Stripe, Inc. Subscriptions auto-renew until cancelled. You authorize us, through Stripe, to charge your payment method on the renewal date.
- Taxes. Prices are stated exclusive of taxes; you are responsible for any applicable sales, use, VAT, GST, or similar taxes.
- Cancellation & refunds. You may cancel at any time from the billing portal; cancellation takes effect at the end of the then-current billing period. Except where required by law, fees already paid are non-refundable.
- Overage. If you exceed your plan's quota, the Service may return rate-limit errors. We do not silently bill overage; you must upgrade to a higher plan to raise your quota.
- Price changes. We may change subscription prices with at least 30 days' notice by email; changes take effect at your next renewal.
5. Acceptable Use
You agree not to use the Service to, and not to permit any third party to:
- violate any applicable law or regulation, or the rights of any third party;
- generate, distribute, or facilitate child sexual abuse material, content that depicts non-consensual sexual activity, or content that promotes terrorism or mass violence;
- generate content intended to defraud, deceive, harass, or impersonate another person without disclosure;
- build a model or service that is substantially similar to, or competes directly with, the Service using outputs obtained from the Service;
- circumvent or attempt to circumvent rate limits, quotas, security controls, authentication, or audit-log integrity;
- reverse engineer, decompile, or attempt to extract the source code or routing logic of the Service except to the extent expressly permitted by applicable law;
- use the Service to make decisions that produce legal or similarly significant effects (employment, credit, insurance, housing, healthcare, criminal justice) without independent human review;
- resell or sublicense the raw Service to third parties as a stand-alone API gateway without our prior written consent (the Service may be embedded in your own product or feature).
We may suspend or terminate your account for material or repeated violation of this section, with notice where practicable.
6. Your Content & Data
"Customer Content" means the prompts, messages, files, and metadata you send to the Service, and the model outputs returned to you.
- Ownership. As between you and us, you retain all rights to your Customer Content. You grant us a limited, worldwide, royalty-free license to process Customer Content solely to operate, maintain, and improve the Service, to provide support, and to comply with law.
- No training on your content. We do not use Customer Content to train our own models. We forward content only to the third-party provider selected by the routing algorithm for that request; each provider's policy on training-on-content is governed by its own terms, which you should review.
- Audit log. We retain hash-chained metadata of each request (timestamp, customer ID, model tier, token counts, cost estimate, audit hash) for at least 90 days for billing, abuse-detection, and verifiability. Message bodies are not stored in the audit log; only request shape and outcome metadata.
- Personal data. Do not transmit personal data of others through the Service unless you have a lawful basis to do so. See the Privacy Policy for details.
7. Third-Party Providers & Sub-Processors
The Service relies on the following sub-processors:
- Stripe, Inc. — payment processing and subscription billing.
- Brevo (Sendinblue SAS) — transactional email delivery (welcome, magic-link, billing).
- Anthropic PBC, OpenAI L.L.C., and Google LLC — large-language-model inference providers selected on a per-request basis by the routing algorithm.
- Oracle Cloud Infrastructure — hosting and managed infrastructure.
By using the Service you authorize us to share Customer Content with these sub-processors solely as necessary to provide the Service. A current list of sub-processors is available on request.
8. Service Availability
We target high availability but do not guarantee uninterrupted operation. The Service may be unavailable due to maintenance, third-party outages (including model-provider outages), or events outside our reasonable control. We do not offer a contractual uptime SLA at this time; plan limits and any future SLA terms will be posted on the Pricing page or in a separate written agreement.
9. Warranties & Disclaimers
THE SERVICE AND ALL MODEL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
Model outputs may be inaccurate, biased, offensive, or otherwise unsuitable. You are solely responsible for evaluating outputs before relying on them, and for any decisions you make based on them. The Service does not provide legal, medical, financial, tax, or other professional advice; outputs that resemble such advice are not a substitute for a qualified professional.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- IN NO EVENT WILL ELITE AI EMPIRE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100).
These limitations apply regardless of the form of action (contract, tort, statute, or otherwise) and survive termination.
11. Indemnification
You will defend, indemnify, and hold harmless Elite AI Empire and its officers, members, employees, and agents from any third-party claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service in violation of these Terms, or your violation of applicable law.
12. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your account or specific API keys (a) for material breach of these Terms, (b) if your account remains inactive or unpaid for more than 30 days, or (c) if required by law or by an order of a competent authority. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including sections 6, 9, 10, 11, 14) will survive.
13. Changes to the Service or these Terms
We may modify the Service at any time, including adding, changing, or removing features. We may update these Terms by posting a revised version at this URL. For material changes we will provide at least 30 days' advance notice by email to the address on file. Continued use of the Service after the effective date of changes constitutes acceptance.
14. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules and the U.N. Convention on Contracts for the International Sale of Goods. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to personal jurisdiction and venue there. Each party irrevocably waives any right to a jury trial.
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the unauthorized use of its intellectual property.
15. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms, constitute the entire agreement between you and us regarding the Service.
- Assignment. You may not assign these Terms without our prior written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions will continue in full force.
- No waiver. Failure to enforce a provision is not a waiver.
- Independent contractors. The parties are independent contractors; nothing creates a partnership, agency, or employment relationship.
- Notices. Notices to you may be sent to the email address on file. Notices to us must be sent to the contact address below.
- Export. You agree to comply with U.S. and other applicable export-control and sanctions laws.
